Terms and Conditions
Introduction
Welcome to BinaryTouch Technologies LLP. These terms and conditions outline the rules and regulations for the use of our services. By accessing or using our services, you agree to comply with and be bound by the following terms and conditions.
1. Definitions
- Company: BinaryTouch Technologies LLP.
- Client: Any individual or entity who engages the services of BinaryTouch Technologies LLP.
- Services: The services provided by BinaryTouch Technologies LLP, including but not limited to web development, mobile app development, software consulting, maintenance, and support.
2. Services
BinaryTouch Technologies LLP provides a range of services as agreed upon with the client. The scope, timeline, and deliverables of the services will be defined in a separate project agreement or contract.
3. Fees and Payment
Payment Terms:
- Clients agree to pay the fees as outlined in the project agreement. Payment terms are as follows:
- 30% upfront payment before the commencement of the project.
- Remaining payments are based on milestone completion as defined in the project agreement.
Late Payments:
- Late payments may incur additional charges as specified in the project agreement.
4. Confidentiality and Data Protection
BinaryTouch Technologies LLP is committed to protecting the confidentiality and security of client data. All client data will be handled in accordance with the DPDP Act 2023 of India, ISO 27001:2022, GDPR, and CPA.
Both parties agree to keep all confidential information shared during the course of the project secure and not disclose it to any third parties without prior consent.
5. Intellectual Property
Ownership:
All intellectual property rights in the deliverables created by BinaryTouch Technologies LLP shall be owned by the client upon full payment of all fees.
Usage Rights:
BinaryTouch Technologies LLP retains the right to use the work produced for promotional purposes unless otherwise agreed upon in writing.
6. Warranties and Liability
Warranty:
BinaryTouch Technologies LLP offers a standard 30-day warranty post go-live of the project to address any issues or bugs that may arise.
Limitation of Liability:
BinaryTouch Technologies LLP shall not be liable for any indirect, incidental, or consequential damages arising out of or in connection with the services provided.
7. Termination
Termination by Client:
The client may terminate the agreement by providing written notice of at least 15 business days. Cancellation fees may apply as outlined in the cancellation and refund policy.
Termination by Company:
BinaryTouch Technologies LLP may terminate the agreement if the client breaches any terms of the agreement and fails to remedy the breach within 30 days of notice.
Consequences of Termination:
Upon termination, the client agrees to pay for all work completed up to the termination date. Any advance payments will be adjusted against the final invoice.
8. Dispute Resolution
Negotiation:
In the event of a dispute, both parties agree to first attempt to resolve the issue through good faith negotiations.
Arbitration:
If the dispute cannot be resolved through negotiation, it will be referred to arbitration under the rules of the Indian Council of Arbitration. The place of arbitration will be Kolhapur, Maharashtra.
9. Governing Law
These terms and conditions shall be governed by and construed in accordance with the laws of India. Any disputes arising under or in connection with these terms shall be subject to the exclusive jurisdiction of the courts in Kolhapur, Maharashtra.
10. Amendments
BinaryTouch Technologies LLP reserves the right to modify these terms and conditions at any time. Clients will be notified of any changes, and continued use of the services constitutes acceptance of the modified terms.
